L. Possehl & Co. mbH to acquire A. Monforts Textilmaschinen GmbH & Co. KG with effect from 1st April, 2006 subject to approval of the relevant antitrust authority. However, A. Monforts Werkzeugmaschinen GmbH & Co. KG is not part of the transaction and would remain under the control of the Monforts von Hobe family.

Monforts Textilmaschinen Group generates sales of Euro 110m with 375 employees and is a prominent name and a market leader with its technology in textile finishing machinery sector. The family owned company since its foundation in 1884, produces textile machineries for finishing and coating of woven and knitted fabrics. Monforts is the most established manufacturer of textile machinery offering the entire vertical integration within


the textile finishing segment. With plants in Mönchengladbach, Austria (Wolkersdorf – St. Stephan), Switzerland (Oberaach) and its Joint Venture in China (Hong Kong, Shenzhen), the company pursues an international approach. The company exports over 90% of its products worldwide and focuses on growing Asian markets. Possehl intends to continue the highly successful Joint Venture with Chinese partner Fong’s National Engineering Co. Limited in unmodified form.

L. Possehl & Co. mbH is owned by Possehl Foundation and this acquisition represents the next step in its growth strategy defined in 2004. Monforts Textilmaschinen-Group will represent an additional independent business segment within the Possehl-Group following the takeover of Harburg-Freudenberger Maschinenbau GmbH and Hako Holding GmbH & Co. KG in 2005.
